Terms & Conditions

At SimpleAI, we prioritize simplicity and aim to minimize technical jargon in our communications. Below, we outline the process of subscribing to SimpleAI and using our services.

1. Understanding “You” and “SimpleAI”

1.1 “You” or “your” refers to both you as an individual and any entity or organization you are authorized to represent.

1.2 “SimpleAI,” “we,” “our,” or “us” pertains to the SimpleAI entity you engage with for services and payments based on the specific plan or product edition you are using.

2. Scope of Services

Our offerings include all current and future offline, online, and mobile solutions, offered by us.

3. Subscription Creation

By subscribing to our services and accepting these terms, you become a subscriber responsible for all related payments.

4. Invited Users

If you are invited to use a SimpleAI service through another subscriber’s account, you are considered an invited user. You must also agree to these terms to access the services.

5. Managing User Roles

As a subscriber, you control access levels for other users you invite. Detailed information on roles and permissions is available on the SimpleAI website and manual.

6. Service Usage Rights

Whether you are a subscriber or an invited user, SimpleAI grants you access to its services (aligned with your subscription plan, user role, and access level) as long as the subscription remains active, the subscriber continues to pay, or until the access is revoked.

7. Subscriber Responsibilities

As the subscriber, you bear full responsibility for managing your subscription and determining who can access it. For example:

7.1 Manage Access: You can modify user permissions at any time.

7.2 Resolve Disputes: Any disputes regarding access must be resolved by you. For instance, if you are our reseller, and/or manage subscriptions on behalf of clients, you might be required to provide your clients with access necessary to protect yourself and the company.

8. Your Obligations

8.1 Keep your account details, including your email address, current and accurate.

8.2 Verify the accuracy of information derived from SimpleAI for legal, tax, or compliance purposes.

8.3 Protect your account credentials, ensuring your password is strong and secure. While SimpleAI enforces minimum password standards, stronger passwords are encouraged for better security.

9. Updates and New Services

SimpleAI continually enhances its offerings. When new or updated services are introduced, additional terms may apply, which will be communicated to you before use. For certain new features and offerings, you may not be able to utilize under your existing subscription unless you upgrade your plan or pay on demand basis, which is at the company’s discretion.

10. Ownership Rights

All elements of SimpleAI’s services, including designs, trademarks, and intellectual property, belong to SimpleAI unless explicitly stated otherwise. Users are prohibited from reproducing, distributing, or creating derivative works without prior authorization.

 

Pricing Information

11. Trial Periods

New users can opt for a trial period under specific conditions outlined during registration. If you wish to continue using SimpleAI after the trial, billing will begin once payment details are added. If you choose not to proceed, you can delete your organization account and request SimpleAI to remove its profiles, and/or you will lose access to the account belonging to your organization.

12. Subscription Plans and Pricing

Monthly subscription fees are based on the plan chosen. These fees, including terms for auto-renewals and cancellations, vary by region and exclude applicable taxes like GST or VAT, unless otherwise stated. Adjustments to pricing will be communicated in advance whenever possible.

13. Tax Responsibilities

You are responsible for managing external fees or taxes related to using SimpleAI services. This includes withholding taxes if applicable, unless SimpleAI processes them directly.

14. Additional Services

Depending on your location, you may access additional paid services offered by SimpleAI. Details and fees will be disclosed during registration for these services.

15. Payment Timeliness

Timely payments are required to maintain access to services. If payments are delayed or missed, SimpleAI reserves the right to suspend or restrict access until payment is received.

Data Use and Privacy

16. Data Usage

When you input or upload data into SimpleAI services, you retain ownership of that data. However, by doing so, you grant SimpleAI a license to use, copy, store, transmit, analyze, and back up the data for the following purposes:

16.1 Enabling you to use SimpleAI services.

16.2 Enhancing and safeguarding the services.

16.3 Creating and improving new features or products.

16.4 Communicating about your subscription or relevant updates.

16.5 Sharing data with third-party providers to support the purposes above.

16.6 Data shared with us will be stored on our server based on jurisdictional requirements. In the event you had unsubscribed to our services and wishes to retrieve the backup data from us, you may contact our sales representative to find out more about the process and cost.

17. Personal Data Protection

SimpleAI values your privacy and handles your personal data, such as your name and email, in accordance with our privacy notice. This document outlines how your personal information is processed and protected.

18. Handling Others’ Personal Data

If you input data about other individuals (e.g., employees, customers, or suppliers) into SimpleAI, our data processing terms may apply depending on their location. These terms ensure compliance with applicable privacy regulations.

19. Anonymized Data Usage

SimpleAI may create anonymized, aggregated data from your usage and input. This anonymized data can be used to:

19.1 Improve and expand services.

19.2 Identify business trends.

19.3 Develop new offerings.

20. Data Breach Notifications

In the event of unauthorized access to personal data within your SimpleAI subscription, we will notify you and provide as much information as possible, and within the shortest time possible. Depending on the breach’s nature and the jurisdictions involved, you may need to notify affected individuals or authorities.

Confidential Information

21. Maintaining Confidentiality

Both you and SimpleAI agree to safeguard each other’s confidential information. Such information may only be shared with authorized parties or disclosed to legal or regulatory bodies if required.

Security

22. Security Measures

SimpleAI employs robust technical, physical, and administrative measures to secure your data. However, no electronic system is entirely foolproof, and absolute security cannot be guaranteed.

23. Account Security Features

To protect your account, SimpleAI may introduce additional security measures, such as multi-factor authentication. In some cases, these features may be mandatory. For optional features, you are solely responsible for any risks if you choose not to use them.

24. Your Role in Data Security

You must safeguard your account credentials, use strong passwords, and immediately report unauthorized access or security breaches. Avoid storing sensitive information like credit card details or tax identifiers in free-form fields not designed for such data.

Third-Party Products

25. Other Services

Some SimpleAI features may rely on services provided by third parties (Azure, Google, ElasticSearch, AWS, OpenAI, Anthropic). These third-party services come with their terms of use:

The terms and privacy policies of third-party products are governed by their respective providers. SimpleAI does not endorse or assume liability for these products but ensures accurate descriptions are provided.

27. Data Sharing for Integrations

By linking your subscription to third-party apps, you authorize SimpleAI to share the necessary data to enable these connections. Any incoming data from third-party integrations is handled in accordance with SimpleAI’s privacy notice.

Maintenance, Downtime, and Data Loss

28. Service Availability

SimpleAI strives to ensure that its services are available 24/7 with minimal interruptions. Occasionally, planned maintenance may require brief downtime, and we will do our best to notify you in advance whenever possible.

29. Access Limitations

As with any internet-based service, there might be occasions when you are unable to access SimpleAI services or your data due to unforeseen issues.

30. Data Backup and Loss

While using technology, the risk of data loss cannot be entirely eliminated. You are responsible for maintaining your own backups of the data you enter into SimpleAI services. Instructions on exporting data are available on our support pages.

31. Compensation for Downtime

If SimpleAI services experience a system-wide downtime exceeding eight consecutive hours, you may request compensation. This could be in the form of a refund or a credit toward future subscription periods, depending on our discretion. Requests must be made in writing within 21 days of the downtime. However, no compensation will be provided for issues caused by:

  • Maintenance activities.
  • Events outside of SimpleAI’s control (e.g., third-party service outages).
  • Violations of these terms by the user.
  • User equipment, network, or software issues.

32. Support and Troubleshooting

Most issues can be resolved by referring to SimpleAI’s support articles and videos on our official channel. If you are not able to resolve, please contact our sales representative directly.

33. Updates and Modifications

SimpleAI frequently rolls out updates, enhancements, and new features to improve its services. If features are discontinued, we will notify you when practical, using email or in-service announcements.

Do’s and Don’ts

34. Feedback

We welcome your feedback and may use it to enhance our services without restrictions.

35. Guidance for Service Use

SimpleAI provides extensive resources, including articles, webinars, and events, to help you make the most of its services. Use these services only for legitimate business purposes.

36. Service Limits

Some features of SimpleAI may have usage limits, such as a cap on the number of monthly transactions; and some services may require top up of fee based on demand usage.

37. Beta or Free Services

From time to time, SimpleAI may offer free or beta services. These are provided “as is,” and you use them at your own risk.

38. Prohibited Activities

To ensure the integrity of SimpleAI services, you must not:

  • Compromise security or disrupt systems.
  • Upload malicious code or viruses.
  • Share offensive or illegal content.
  • Reverse engineer or repurpose SimpleAI services.
  • Resell or sublicense data accessed through the platform.
  • Engage in fraudulent activities.
  • Treat SimpleAI staff or users in a disrespectful or abusive manner.
  • Overuse the system in ways that exceed reasonable and customary usage, causing disproportionate costs.

Termination

39. Subscription Periods

Subscriptions remain active for the duration covered by the payment.

40. Automatic Renewals

Subscriptions automatically renew for the same duration unless you or SimpleAI decide otherwise.

41. Termination by You

You can terminate your subscription at any time with at least one month’s written notice. You remain responsible for all charges up to the termination date. The subscription you paid will not be reimbursed and you will have full access to SimpleAI until the subscription expires.

42. Termination by SimpleAI

SimpleAI may terminate your subscription with one month’s notice or immediately if:

  • You breach these terms and fail to address the issue within 14 days.
  • The breach cannot be remedied.
  • Your business becomes insolvent or enters liquidation.
  • Subscription fees remain unpaid beyond the deadlines provided.

43. Refunds

No refunds are provided for terminated subscriptions unless explicitly stated otherwise.

44. Data Retention Post-Termination

After termination, your data is archived per our retention policy.

Liability and Indemnity

45. Your Responsibility to Indemnify SimpleAI

You agree to indemnify SimpleAI against any losses, costs (including legal fees), expenses, demands, or liabilities arising from third-party claims due to your use of our services or third-party products. This excludes:

  • 45.1 Losses caused by SimpleAI’s breach of these terms, gross negligence, willful misconduct, or fraud.
  • 45.2 Errors attributable solely to SimpleAI, its employees, or agents.
  • 45.3 SimpleAI will take reasonable measures to minimize such losses where possible.

46. Disclaimer of Warranties

SimpleAI services and third-party products are provided on an “as is” basis. Except for guarantees that cannot be excluded under applicable laws, SimpleAI disclaims all implied warranties, including merchantability, fitness for a specific purpose, and non-infringement.

47. Limitation of Liability

SimpleAI’s liability to you is limited as follows:

  • 47.1 We are not responsible for indirect, incidental, or consequential losses, including loss of revenue, profit, goodwill, or data.
  • 47.2 For any data loss, our liability is restricted to reasonable efforts to recover your data from backups.
  • 47.3 Our total liability is capped at the amount you paid for your subscription during the 12 months preceding the event causing the liability.
  • 47.4 However, these limitations do not apply in cases of gross negligence, fraud, or other circumstances where liability cannot legally be limited.

Disputes

48. Resolving Disputes

48 Most issues can be addressed by contacting our support team. If disputes persist, they may be resolved through arbitration or small claims court, depending on the laws in your jurisdiction.

  • 48.1 Disputes must be raised individually and not as part of a group or class action.
  • 48.2 You are solely responsible for managing disputes with other subscribers or users.

Important Notices

49. No Professional Advice

SimpleAI provides tools and resources to support your business but does not offer professional advice.

50. Uncontrollable Events

SimpleAI is not liable for delays or failures caused by events outside its reasonable control, such as natural disasters or third-party service interruptions.

51. Notifications

You can contact SimpleAI for legal notices at [email protected]. Notifications from SimpleAI will be sent to the email address associated with your subscription.

52. Non-Excludable Guarantees

In some jurisdictions, non-excludable rights or guarantees may apply. In such cases, SimpleAI’s liability is limited to replacing or reimbursing the cost of the relevant service, unless otherwise required by law.

53. Export Restrictions

You must not use SimpleAI services in violation of applicable export or trade embargo laws.

54. Excluded Terms

Terms from international conventions or uniform trade laws, such as the UN Convention on Contracts for the Sale of Goods, do not apply to these terms.

55. Blocking or Terminating Access

SimpleAI may block access or terminate subscriptions if required by law or if there’s a risk of loss, legal violation, or regulatory non-compliance. Examples include transactions involving sanctioned individuals or regions.

56. Relationship

Nothing in these terms establishes a partnership, joint venture, or employment relationship between you and SimpleAI.

57. Transfer of Terms

SimpleAI may transfer these terms or associated rights to another entity as needed. If your subscription is impacted by such a transfer, you will be notified.

58. Updates to Terms

SimpleAI reserves the right to update these terms periodically. Changes will not apply retrospectively, and significant updates will be communicated at least 30 days in advance whenever possible.

59. Enforceability

If any part of these terms is found unenforceable, the remaining terms will continue to apply.

60. Interpretation

Words like “including” are not meant to limit the scope of these terms. Decisions under these terms are made at SimpleAI’s sole discretion.

61. Jurisdiction and Law

The SimpleAI entity and governing laws depend on the region where the services are provided.
